 ARTICLE I
The Association 

Section 1          The association shall be identified as:

         Western Maine Firefighter’s Association

 ARTICLE II
Purpose

 Section 1     To unite in one organization the members of volunteer and town fire companies and emergency services of the Western Maine region.

Section 2      To familiarize members with all methods of effectively fighting various types of fire, with fire fighting equipment and resources of fire companies and emergency services in the region, and to establish working relationships with the officers and members of each service in the areas they serve.

Section 3      In the event of a disaster, to give organized assistance to the local fire fighting companies and emergency services through trained personnel, firefighting equipment and any other resources the Association organizations might command.

ARTICLE III
Membership

 Section 1     Membership in the Western Maine Firefighter’s Association shall be comprised of all dues-paying entities, to include Fire Companies and Emergency Services in Western Maine as well as agencies in bordering communities.

ARTICLE IV
Officers and Elections

 Section 1     The officers of this association shall consist of a President, Vice-President, Secretary/treasurer and Board of Directors.

                   The President, Vice-President and Secretary/Treasurer shall be elected by ballot bi-annually at September meeting.

                   A majority of all votes cast shall elect:
• The office of President will be for a term of two (2) years
• Vice President and Secretary/Treasurer for a (1) year term
• Any officer who misses three (3) consecutive meetings with out reasonable excuse shall be replaced.

Section 2      It shall be the duty of the President to call all regular and special meetings of the Association, to preside at the same and keep order therein, and to perform all other duties incident to the office. The President shall be ex-officio a member of all committees and the board of directors.

Section 3      The Vice-president shall, in the absence of the President, exercise the powers and perform the duties of the President. Otherwise the Vice-president shall have such powers and perform such duties as may be assigned to them by the President.

Section 4      The Secretary/Treasurer shall keep a correct record of the proceedings of the Association and keep a roll of all members of the Association. The Secretary/Treasurer will make notification by mail or E-mail of all meetings. Reports and business from the previous meeting will be given at each meeting.

Section 5      The Board of Directors will be comprised of six (6) members that include:

·       President

·       Four most recent past Presidents

·       Forest Ranger representative

Section 6      Upon the death of any current Board member, the President will appoint a replacement to fill the vacancy until the next annual meeting.

ARTICLE V
Meetings

Section 1      Regular meetings will be held the 2nd Monday of the month at 6:30PM beginning with supper, followed by the Association meeting and any entertainment or training arranged by the host department.

Section 2      The annual meeting will be held in September of each year.

Section 3      There will be no Association meeting during the month of December.

Section 4      All departments need to have representation at meetings to host a supper. Hosting departments must, at a minimum, be represented at six meetings within the last year. The roster for hosting suppers will be set at the annual meeting for the upcoming year.
If a meeting is cancelled by the host entity for any unforeseen circumstances, the Association will reimburse them an amount to be determined by the Board of Directors.
 

ARTICLE VI
Finances

Section 1      The Secretary/Treasurer shall keep a correct account of all monies received and paid out. The account will be open at all times for inspection by any officer or officers of the Association. Any member, upon request of an officer, may also have access to the financial records. A financial report will be given at each Association meeting.

Section 2      Any expenditure up to $200.00 shall be approved by either the President or Vice President.

Section 3      Any expenditure over $200.00 shall be approved by majority vote of the Association or three (3) approval votes by members of the Board of Directors.

Section 4      The annual dues for individual members shall be $10.00. The annual dues for a fire company and its members, the Fire Marshall’s Office, the Regional Communications Center and other emergency services shall be $40.00.

Section 5      30 days prior to the annual meeting an annual audit will be conducted by the Board of Directors and a Certified Public Accountant independent of the Association. The audit results shall be presented at the annual meeting.

ARTICLE VII
Amendments to the Constitution and By-Laws

Section 1      Any amendment(s) to the Constitution and By-Laws of the Western Maine Firefighter’s Association may be presented at any regular meeting. All amendment requests shall be submitted in writing.

Section 2      Any amendment(s) to the Constitution and By-Laws shall be adopted at the next annual meeting by a two-thirds vote of the members present.
